Corporate Sponsorship Terms

These terms apply to corporate sponsors ("Sponsor," "you") using KidStarter for contributions, sponsorships, and impact reporting. These terms form part of the Agreement (see Terms of Service).
1. Corporate Accounts
1.1. By creating a corporate account, you represent and warrant that you are duly authorized to bind your organization and to act on its behalf with respect to the Service.
1.2. You are responsible for all activity under your corporate account and for ensuring that all users with access are authorized.
1.3. You will maintain accurate and up-to-date account information and promptly revoke access for any individual who is no longer authorized.
2. No Direct Contact with Minors
2.1. Corporate Sponsors must not use KidStarter or any information obtained through the Service to directly contact, communicate with, solicit, or collect Personal Data from minors.
2.2. Any permitted communications (e.g., thank-you messages routed through the platform) are controlled through KidStarter's platform rules and content moderation, and are subject to the Safety & Child Protection Policy.
2.3. Corporate Sponsors must not use Student data, names, images, or stories for commercial purposes, advertising, or marketing outside the Service without express written consent from KidStarter and the relevant guardians.
3. Brand Usage and Co-Branding
3.1. Corporate Sponsors may display the KidStarter name and logo in connection with their sponsorship only with prior written approval from KidStarter and in accordance with KidStarter's brand guidelines.
3.2. KidStarter may feature the Sponsor's name and logo on relevant Campaign pages, impact reports, or the Service (e.g., "Sponsored by [Company Name]") with Sponsor's consent.
3.3. Neither party may imply endorsement, partnership, or affiliation beyond the scope of the sponsorship without prior written agreement.
3.4. Sponsorship does not grant the Sponsor any ownership, editorial control, or approval rights over Campaign content.
4. Payments and Invoicing
4.1. Corporate contributions may be made via supported payment methods (credit card, bank transfer, or other methods as made available).
4.2. If invoicing is offered, Sponsors must provide accurate billing and tax information. Payment terms will be specified on the invoice.
4.3. Currency, fees, and payment processing are handled as described in the Donor Terms Sections 3–4.
5. Reporting
5.1. KidStarter may provide impact reports, donation summaries, and data exports for Sponsor's internal CSR reporting and record-keeping purposes.
5.2. Reports are provided for informational purposes only and may be updated to reflect corrections. KidStarter does not guarantee the accuracy of reports and disclaims liability for decisions made in reliance on them.
5.3. Reports will not contain identifying information about minors (e.g., no full names, schools, or images) unless the Sponsor has been granted explicit access under a separate data-sharing agreement with appropriate safeguards.
6. Anti-Bribery and Anti-Corruption
6.1. You represent and warrant that you will comply with all applicable anti-bribery and anti-corruption laws, including but not limited to:
- the US Foreign Corrupt Practices Act (FCPA);
- the UK Bribery Act 2010;
- EU anti-corruption directives;
- the Canadian Corruption of Foreign Public Officials Act (CFPOA);
- applicable local anti-corruption legislation.
6.2. You will not offer, promise, give, or authorize the giving of anything of value (including donations through KidStarter) to any government official, political party, or public international organization to obtain or retain business or any improper advantage.
6.3. Sponsorships must not be conditioned on or linked to any quid pro quo arrangement, government procurement advantage, or improper influence.
7. Anti-Money Laundering (AML) and Sanctions
7.1. You will comply with all applicable AML laws and regulations, including customer due diligence and suspicious transaction reporting obligations.
7.2. You will comply with all applicable economic sanctions and trade restrictions, including those administered by OFAC (US), OFSI (UK), the EU, and Global Affairs Canada.
7.3. You represent that neither you nor your beneficial owners are listed on any applicable sanctions list.
8. Modern Slavery and Human Trafficking
8.1. You represent and warrant that you comply with all applicable modern slavery and human trafficking laws, including the UK Modern Slavery Act 2015 and applicable EU directives.
8.2. You confirm that you have policies and procedures in place to prevent modern slavery and human trafficking in your business and supply chains.
9. Data Protection
9.1. Sponsor's Personal Data is processed in accordance with the Privacy Notice.
9.2. Where Sponsor employees or representatives interact with the Service, their data is processed as described in the Privacy Notice under the "Creators and Organization Users" and "Corporate Sponsor Data" categories.
9.3. Sponsors will not receive Personal Data of minors through the Service except as expressly provided in a separate data-sharing agreement with appropriate legal bases, safeguards, and DPIAs.
10. Indemnification
You agree to defend, indemnify, and hold harmless KidStarter and its affiliates from and against all claims, damages, losses, liabilities, costs, and expenses arising from or in connection with:
- your breach of these Corporate Sponsorship Terms or the Agreement;
- your violation of applicable law, including anti-bribery, AML, sanctions, and modern slavery laws;
- unauthorized contact with or use of data about minors;
- misuse of KidStarter's brand or marks;
- any claim by a third party related to your sponsorship activities.
11. Termination
11.1. Either party may terminate the sponsorship arrangement by providing 30 days' written notice to the other party.
11.2. KidStarter may immediately suspend or terminate a Sponsor's access for: breach of these terms, violation of law, fraud, reputational risk, or safety concerns.
11.3. Upon termination, Sponsor's right to use KidStarter's name and marks ceases immediately. Pending contributions that have already been committed may be processed or refunded at KidStarter's discretion.
